Terms and Conditions of Service

These Terms and Conditions (“Terms”) govern the use of services provided by QuickGs Logistics LLC (“QuickGs,” “we,” “us,” or “our”), a limited liability company registered in the State of Wyoming, USA, with its principal place of business at 5830 E 2nd St, Ste 7000 #32546, Casper, Wyoming 82609.
By accessing https://quickgslogistics.com or using our services, you (“Client,” “Carrier,” or “you”) agree to be bound by these Terms. If you do not agree, do not use our services.
1. Nature of Services
QuickGs Logistics LLC provides freight dispatching, logistics coordination, and back-office support services to owner-operators and fleet managers operating within the United States.
QuickGs Logistics LLC is not a freight broker, does not hold broker authority, and does not arrange transportation as a broker. All transportation services are performed solely by the Carrier under its own MC and DOT authority. QuickGs acts strictly as an independent administrative dispatch service.
Our services are offered under one of two arrangements, as selected at onboarding:
- Option A: Percentage-Based (10% of Gross Revenue): Full dispatching and back-office services billed weekly, including load searching, rate negotiation, documentation management, broker setup, factoring coordination, detention filing, and 24/7 support.
- Option B: Flat Weekly Plans:
- Solo Runner $500.00/truck/week: Load searching, rate negotiation, and basic route optimization.
- Full-Drive $650.00/truck/week: Everything in Solo Runner, plus broker setup packets, COI management, detention and layover negotiation, and 24/7 driver support.
- Elite Fleet $700.00/truck/week: Everything in Full-Drive, plus invoicing, factoring submission, and IFTA tracking.
Optional add-on services (e.g., IFTA & Compliance Tracking at $50.00/truck/week) are available for applicable plans. Services not included in the selected plan are not covered unless separately agreed upon in writing.
2. Client Eligibility
To use our services, you must:
- Hold a valid MC Authority certificate in good standing with the FMCSA
- Maintain a valid DOT Number registration
- Carry active cargo liability insurance (minimum $100,000 per occurrence), commercial general liability (minimum $1,000,000), and auto liability (minimum $1,000,000 combined single limit)
- Remain compliant with all FMCSA and DOT regulations at all times
- Operate legally within the United States
- Provide all required onboarding documentation prior to the start of services
QuickGs reserves the right to refuse, suspend, or terminate services if eligibility requirements are not met or maintained.
3. Required Documentation
No loads shall be booked or dispatched until all required documentation has been received, verified, and approved. You must provide and keep current at all times:
Business & Authority:
- Valid MC Authority certificate
- DOT Number registration
- Completed and signed W-9 Form
- Signed Dispatcher-Carrier Agreement
- Lease agreement (if operating under another carrier’s authority)
Insurance:
- COI for cargo liability minimum $100,000 per occurrence, naming QuickGs Logistics LLC as Certificate Holder and Additional Insured
- COI for commercial general liability minimum $1,000,000 per occurrence
- COI for auto liability minimum $1,000,000 combined single limit
- COI for bobtail insurance minimum $100,000 per occurrence (if applicable)
- NOA from factoring company (if applicable)
Driver Documents (each assigned driver):
- Valid CDL copy of appropriate class
- Current Medical Examiner’s Certificate
- Completed Driver Qualification (DQ) File
- Signed PSP Release Authorization Form
- Current Motor Vehicle Record (MVR), updated annually
- Pre-employment drug test results (negative)
- Background check results
- TWIC Card copy (if operating in secured areas)
Equipment & Access:
- Current vehicle and trailer registration
- Current DOT inspection report
- ELD provider name, platform login credentials, and unit ID granting QuickGs Logistics LLC full read-only access to monitor HOS, location, and driving logs in real time
- Dash cam access credentials (if applicable)
- PrePass and EZPass account information (if applicable)
- Void check or Direct Deposit Authorization Form
Any document that expires or becomes invalid must be resubmitted within 48 hours. Failure to maintain current documentation results in immediate suspension of services. All documents must be submitted to safety@quickgslogistics.com.
4. Carrier Obligations & Compliance
You warrant and agree that at all times during this agreement:
- All equipment is in good mechanical condition, properly registered, insured, and fully compliant with FMCSA and DOT requirements
- All drivers hold a valid CDL of the appropriate class and a current Medical Examiner’s Certificate
- All drivers are free of disqualifying violations per 49 CFR Part 391 and comply with HOS regulations
- All vehicles are equipped with an FMCSA-compliant ELD with read-only access granted to QuickGs Logistics LLC
- No out-of-service vehicle is dispatched under any circumstance
- HazMat loads are handled exclusively by drivers holding the appropriate endorsements, TSA clearance, and certifications
- Any breakdown, accident, cargo incident, or out-of-service order is reported to QuickGs Logistics LLC within 2 hours of occurrence
- Any violation, citation, or regulatory action is reported within 24 hours
QuickGs Logistics LLC does not employ, supervise, or control your drivers and bears no liability for their actions or compliance status.
5. Drug & Alcohol Testing
All assigned drivers must be enrolled in a DOT-compliant Drug and Alcohol Testing Consortium per 49 CFR Part 382 and must have passed a pre-employment drug test prior to dispatch. Any driver who tests positive, refuses to test, or is disqualified shall be immediately removed from service. QuickGs Logistics LLC must be notified within 24 hours of any positive result or removal. Reinstatement requires completion of the full DOT Return-to-Duty process.
6. Dispatch Authority & Load Conduct
By engaging QuickGs, you authorize us to act as your independent administrative agent, including to:
- Contact brokers and shippers on your behalf
- Negotiate freight rates to maximize your gross revenue per mile
- Sign Rate Confirmations and Broker/Carrier Agreements on your behalf (per the Limited Power of Attorney in the Dispatcher-Carrier Agreement)
- Complete broker setup packets and manage your profiles on load boards and broker portals
- Submit BOLs, PODs, and invoices to brokers and factoring companies
- File detention, layover, TONU, and accessorial charges on your behalf
- Dispute unauthorized broker deductions or chargebacks on your behalf
- Communicate with brokers, shippers, and receivers regarding load status
The Carrier shall not accept, confirm, cancel, or renegotiate any load without the express authorization of QuickGs Logistics LLC. Once a Rate Confirmation is signed, the load must be completed as agreed. Unauthorized cancellations make the Carrier solely liable for any resulting TONU charges, broker penalties, or damages.
7. Exclusivity & Non-Circumvention
During the term of your agreement with QuickGs and for a period of 24 months following termination, you agree not to directly contact, solicit, or conduct business with any broker, shipper, or freight principal introduced or facilitated by QuickGs Logistics LLC without prior written consent.
You shall not share, disclose, or transfer any broker contact information, rate structures, load board access credentials, or any other proprietary information provided by QuickGs to any third party, including other dispatchers, carriers, or agents.
Any breach of this clause entitles QuickGs Logistics LLC to liquidated damages of $5,000 per occurrence, plus actual damages, lost profits, and reasonable attorneys’ fees. QuickGs may also seek immediate injunctive relief without the requirement of posting bond.
The Carrier may not engage or contract with another dispatcher or dispatch service while this Agreement is active without prior written consent from QuickGs Logistics LLC.
8. Fees & Payment Terms
Service fees are based on the plan selected at onboarding (see Section 1: “Nature of services”). All fees are due and payable weekly every Friday, covering all loads completed or booked within that billing week.
Accepted payment methods include Direct Deposit / ACH, Wire Transfer, Zelle, Cash App, Venmo, PayPal, Comcheck, EFS / T-Chek, or check payable to QuickGs Logistics LLC. Payment method changes require written notice with a minimum of 7 days advance notice and are subject to approval. Direct all billing inquiries to billing@quickgslogistics.com.
For Option A (Percentage-Based): The 10% dispatch fee is earned upon booking of the load and is due regardless of whether the Carrier has received payment from the broker.
Late payments: Any fees not paid by the Friday due date are considered past due. A late fee of $25.00 per day accrues for each calendar day outstanding beyond 3 business days.
QuickGs reserves the right to suspend all dispatching services immediately upon non-payment without liability for any resulting loss of income or business opportunity.
QuickGs is not responsible for broker non-payment, factoring delays, or third-party payment disputes.
9. Post-Termination Payment Obligations
Upon termination of services for any reason, the following obligations survive and remain fully enforceable:
- All outstanding dispatch fees and earned commissions become immediately due and payable in full, regardless of whether the underlying load has been invoiced or payment received from the broker.
- Any load in transit at the time of termination must be completed in full. QuickGs shall be entitled to its full dispatch fee for such loads, payable upon the Carrier’s receipt of payment but no later than 15 days after delivery.
- Any load booked or negotiated by QuickGs prior to termination regardless of whether it is picked up before or after termination is subject to the full dispatch fee.
- Any outstanding balance not paid within 10 days of termination shall accrue interest at 1.5% per week (72% per annum) until paid in full.
Personal Guarantee: The individual signing on behalf of the Carrier personally guarantees all amounts owed to QuickGs Logistics LLC in the event the Carrier fails to pay, dissolves, ceases operations, or is otherwise unable to fulfill its payment obligations. This guarantee survives termination.
10. No Guarantee of Results
QuickGs does not guarantee:
- Load availability or continuity
- Revenue, rates, or profit levels
- Lane consistency
- Broker acceptance or approval
Results are affected by market conditions, equipment type, compliance status, carrier performance, and factors outside our control.
11. SMS & Electronic Communications
By providing your contact information, you consent to receive transactional communications, including SMS messages related to dispatch operations such as load confirmations, pickup and delivery updates, and urgent dispatch notifications.
Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP. Consent is not a condition of service. QuickGs complies with TCPA and A2P 10DLC regulations.
12. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business, financial, and operational information exchanged during the course of the relationship. This includes broker contacts, rate structures, load board access, and operational workflows. This obligation survives termination for 24 months. Neither party shall disclose such information to any third party without prior written consent, except where required by law.

13. Liability
The Carrier assumes full and exclusive responsibility for:
- The safety, security, and condition of all cargo from pickup to final delivery
- The conduct of its drivers and the mechanical condition of its vehicles
- Compliance with all applicable federal, state, and local regulations
- Adherence to Hours of Service (HOS) requirements as mandated by the FMCSA
To the maximum extent permitted by law, QuickGs Logistics LLC shall not be liable for:
- Cargo loss, damage, theft, contamination, or destruction
- Accidents, injuries, or deaths involving the Carrier’s drivers or equipment
- Regulatory violations, fines, or citations
- Delays caused by weather, traffic, mechanical failure, shipper/receiver delays, or force majeure events
- Broker or shipper actions, non-payment by third parties, or market fluctuations
QuickGs Logistics LLC’s total liability to the Carrier, if any, shall not exceed the total dispatch fees paid by the Carrier in the 30 days preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless QuickGs Logistics LLC, its owner Walter Ramos, employees, agents, and representatives from any and all claims, demands, damages, losses, liabilities, costs, and expenses including reasonable attorneys’ fees arising out of or related to your transportation operations, driver conduct, regulatory violations, cargo claims, equipment failures, insurance lapses, or misrepresentations.
15. Termination
Either party may terminate services with 30 days’ written notice. QuickGs may terminate immediately and without notice in the event of:
- Non-payment or repeated late payment of fees
- Fraud, misrepresentation, or falsification of documents
- Violation of applicable federal, state, or local laws
- Failure to maintain required insurance coverage
- The Carrier’s operating authority being suspended, revoked, or placed out of service
- Unresponsiveness or failure to maintain regular communication
- Conduct that damages QuickGs’s reputation, broker relationships, or business operations
- Abandonment of a load, no-show, or TONU without authorization
- Breach of exclusivity, confidentiality, or non-circumvention provisions
- Engaging another dispatcher while this agreement is active without written consent
Termination does not relieve the Carrier of any outstanding payment obligations. See Section 9 for post-termination payment terms.
16. Intellectual Property
All website content, branding, logos, service materials, and operational processes are the exclusive property of QuickGs Logistics LLC and may not be reproduced, copied, or used without prior written permission.
17. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts of Wyoming.
18. Changes to Terms
QuickGs reserves the right to modify these Terms at any time. Updates will be effective upon publication and reflected by the revised date at the top of this page. Continued use of our services constitutes acceptance of the revised Terms.
